These Terms of Service, together with the Risk Disclosure and Privacy Policy (collectively, the "Terms"), govern your access to and use of the Singularity Cloud Network at cloud.x402compute.cc and any related pages, APIs, smart contracts, and tooling for confidential compute, the inference grid, machine rentals, and $SGL staking (the "Interface").
By connecting a wallet, submitting a job, renting a machine, providing compute, staking, or otherwise using the Interface, you confirm that you have read, understood, and agree to be bound by these Terms in full. If you do not agree, do not use the Interface.
The Interface is a non-custodial front-end and API for a decentralized compute network and for autonomous smart contracts deployed on public blockchains. Singularity Layer and EventHorizon Labs (collectively, the "Providers") do not take custody of, hold, control, or have access to your tokens, private keys, or wallets at any time.
Inference and compute jobs are served by independent third-party node operators, not by the Providers. The Providers operate coordination infrastructure but do not control operators and do not guarantee their availability, performance, or conduct.
On-chain transactions are executed by you, directly against on-chain programs, and are irreversible once submitted. The Providers cannot reverse, cancel, refund, recover, or modify any on-chain transaction.
You represent and warrant that you are at least 18 years old (or the age of majority in your jurisdiction), have full legal capacity to accept these Terms, and are not acting on behalf of any sanctioned person or entity.
You may not use the Interface if you are located in, ordinarily resident in, or a citizen of any jurisdiction where use of the Interface would be illegal or require licensing the Providers do not hold, including any jurisdiction subject to comprehensive sanctions.
It is solely your responsibility to determine whether your use of the Interface is lawful in your jurisdiction. The Providers make no representation that the Interface is appropriate or available for use in any particular location.
The Providers are not registered, licensed, or authorized as a broker-dealer, investment adviser, exchange, money services business, bank, or any other regulated financial institution in any jurisdiction, and do not purport to be.
$SGL is a utility token used within the Singularity Layer network. Nothing in the Interface constitutes an offer or solicitation to buy or sell any security, financial instrument, or investment product. Staking is a network-security and utility mechanism, not a deposit, savings product, or investment contract.
Compute and machine usage are paid in supported stablecoins, on-chain payments, or prepaid credits. Prices, rates, and fee splits are shown in the Interface and may change at any time. On-chain payments and consumed compute are non-refundable.
Credit balances are a prepayment for usage, not a deposit or stored-value instrument, and carry no interest. You are responsible for any network fees and for any taxes arising from your activity.
You agree not to use the Interface to generate, process, or distribute unlawful content; to infringe intellectual-property or privacy rights; to attack, overload, or probe the network or other users; to evade fees, rate limits, or access controls; or for any purpose prohibited by applicable law or by the model and provider terms that apply to a job.
You are solely responsible for the prompts, data, and content you submit and for the outputs you obtain and how you use them. The Providers may suspend or terminate access for conduct that threatens the network or violates these Terms.
Nothing on the Interface is, or should be construed as, financial, investment, legal, accounting, or tax advice. The Providers are not your broker, intermediary, agent, advisor, or fiduciary, and owe you no duty in connection with your use of the Interface.
Any APR, APY, reward estimate, earnings figure, price, or projection shown is illustrative only, not guaranteed, and may be inaccurate or out of date. Actual results depend on network activity, token prices, and factors outside the Providers’ control. Consult your own professional advisors before making any decision.
Using the Interface, providing compute, and staking $SGL involve significant risk, including the risk of total loss. By using the Interface you acknowledge and accept all of the following risks, among others:
• Smart-contract risk: the on-chain programs may contain bugs, vulnerabilities, or economic flaws that could result in partial or total loss of tokens, despite review.
• Slashing: stake associated with compute or validator roles can be slashed (partially or fully confiscated) for misbehaviour or downtime, per the program rules. Yield-only positions are not slashable, but no position is risk-free.
• Confidentiality limits: jobs are end-to-end encrypted in transit and sealed to the serving node, but no system is perfectly secure. Hardware attestation and confidentiality guarantees are evolving; do not submit data you are not permitted to process off your own systems.
• Operator & availability risk: nodes are run by independent operators and may be slow, go offline, return errors, or behave incorrectly. Results are not guaranteed.
• Token & price volatility: $SGL, reward tokens, and stablecoins may lose value rapidly and without warning, including to zero.
• Lock-up & cooldown: unstaking is subject to a cooldown during which your tokens remain locked and exposed to price movement and slashing (where applicable).
• Technical & operational risk: blockchain congestion, RPC failures, wallet errors, key loss, phishing, and front-end compromise can cause loss. You are solely responsible for the security of your wallet and keys.
• Regulatory risk: laws affecting tokens, staking, and compute may change, possibly retroactively, and may adversely affect the Interface or your ability to use it.
You are solely responsible for: (a) the security and custody of your wallet, private keys, and seed phrases; (b) all transactions, jobs, and decisions you make; (c) verifying contract addresses and transaction details before signing; (d) the content you submit and obtain; (e) if you operate a node, doing so lawfully and securing your machine; and (f) determining, reporting, and paying any taxes arising from your activity.
The Providers will never ask for your private key or seed phrase. Anyone who does is attempting to defraud you.
THE INTERFACE AND ALL RELATED SOFTWARE, APIS, AND CONTRACTS ARE PROVIDED "AS IS" AND "AS AVAILABLE", WITH ALL FAULTS AND WITHOUT WARRANTY OF ANY KIND, WHETHER EXPRESS, IMPLIED, STATUTORY, OR OTHERWISE.
The Providers expressly disclaim all warranties, including merchantability, fitness for a particular purpose, title, and non-infringement, and any warranty that the Interface will be uninterrupted, secure, error-free, or free of harmful components. The Interface is experimental software.
TO THE MAXIMUM EXTENT PERMITTED BY LAW, IN NO EVENT WILL SINGULARITY LAYER, EVENTHORIZON LABS, OR ANY OF THEIR FOUNDERS, DIRECTORS, EMPLOYEES, CONTRIBUTORS, AGENTS, OR AFFILIATES BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, REVENUE, TOKENS, DATA, OR GOODWILL, ARISING OUT OF OR RELATING TO YOUR USE OF (OR INABILITY TO USE) THE INTERFACE, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.
To the maximum extent permitted by law, the Providers’ total aggregate liability for all claims relating to the Interface will not exceed one hundred US dollars (US$100). Some jurisdictions do not allow certain limitations; in such cases the limitations apply to the greatest extent permitted.
You assume all risks associated with using the Interface, providing compute, staking, and holding $SGL. You irrevocably release, waive, and discharge the Providers from any and all claims, demands, and damages arising out of or related to your use of the Interface, to the fullest extent permitted by law.
You agree to indemnify and hold harmless the Providers and their affiliates from any claim, loss, liability, or expense (including reasonable legal fees) arising from your use of the Interface, your content, your violation of these Terms, or your violation of any law or the rights of any third party.
The Providers may modify, suspend, or discontinue the Interface (in whole or in part) at any time, without notice or liability. The Providers may amend these Terms at any time; the updated Terms take effect when posted. Your continued use constitutes acceptance.
On-chain contracts may be upgraded by their authority in accordance with their program rules; the current owner of the staking program is a hardware-wallet-controlled authority.
These Terms constitute the entire agreement between you and the Providers regarding the Interface and supersede any prior agreements. If any provision is held unenforceable, the remaining provisions remain in full force. Failure to enforce any provision is not a waiver.
